Hi Trent,

Regarding Item 4, b, ii, 2 (Primary Rep sign off).  I understand how that
might set off a flag or question at least.  I'm happy to explain.

This provision was added provide companies/affiliations a measure of control
over what IPR agreements are signed by their Representatives.

For example: Company X is a member with 1 Primary Rep and 10 Reps reporting
under their authority.  Company X wants to protect itself from a situation
where a reporting Rep might agree to an IPR policy for a WG that Company X
DID NOT agree with.  Company X and Kantara Initiative would have a potential
large problem to solve in this case.

So the provision at first may seem like a rule that forces additional
restrictions on a Member company, however it is really an added layer of
protection and control that allows Company X to clearly authorize and
delegate where its Representatives participate, and which IPR options are
agreed to for specified WGs and DGs.

I'm sure the wording here can be tightened up, but does this clarify the
intent and origination of the provision?
